These Terms of Use govern access to and use of www.crosstownmetal.com and any related pages or subdomains operated by Crosstown Metal Industries Ltd. that link to these Terms (collectively, the “Site”).

1. Acceptance of these Terms

By accessing or using the Site, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. About the Site

The Site provides general information about Crosstown Metal Industries Ltd. (“CMI”, “we”, “us” or “our”), its capabilities, projects, services, equipment and related business activities. Site content is provided for general informational purposes only. It is not an offer, quotation, engineering opinion, professional advice, guarantee, specification or contractual commitment.

Any supply of goods or services by CMI is governed by the applicable quotation, purchase order, subcontract, agreement or other written contract, not by the Site. If Site content conflicts with a signed agreement, the signed agreement governs.

3. Permitted use

You may view, download and print reasonable portions of the Site for your own lawful, internal and non-commercial information or evaluation, provided that you do not remove any copyright, trademark or proprietary notice.

You must not:

  • use the Site in violation of any applicable law or another person’s rights;
  • copy, republish, sell, license, distribute, scrape, frame or mirror a material portion of the Site without our prior written permission;
  • use automated means to access the Site in a manner that places an unreasonable load on it or interferes with its operation;
  • attempt to gain unauthorized access to the Site, its systems, accounts or data, or test their vulnerability without authorization;
  • introduce malicious code or use the Site to transmit harmful, misleading, defamatory or unlawful material; or
  • misrepresent your identity or affiliation when contacting CMI through the Site.

4. Intellectual property

The Site and its content—including text, photographs, graphics, designs, videos, downloadable materials, logos, trademarks, trade names and the selection and arrangement of content—are owned by or licensed to CMI and are protected by Canadian and international intellectual property laws.

Crosstown Metal Industries, Crosstown Metal, ArtMET and related names, logos and marks displayed on the Site are trademarks or trade names of CMI or their respective owners. No licence or right to use any mark is granted except with prior written permission from the owner.

5. Information and materials you submit

If you send an inquiry, request for quote, website feedback, document, drawing or other material through the Site, you confirm that the information is accurate to the best of your knowledge and that you have the right to provide it. Do not submit confidential, export-controlled, security-sensitive or third-party personal information unless CMI has asked for it and you are authorized to provide it.

You grant CMI a non-exclusive right to use and reproduce submitted materials only as reasonably necessary to review, respond to and administer your inquiry or potential business relationship. Submission does not require CMI to accept work, provide a quotation or enter into an agreement.

6. Privacy

Our collection, use and disclosure of personal information through the Site are described in our Privacy Policy, which forms part of these Terms. Internet communications are not completely secure; use appropriate care when sending information online.

7. Third-party websites and content

The Site may link to websites, platforms, documents or services operated by third parties. Links are provided for convenience only. CMI does not control and is not responsible for third-party content, availability, security, privacy practices or terms. A link does not necessarily mean that CMI endorses the third party. Review the third party’s terms and privacy policy before using its service.

8. Accuracy, availability and security

We aim to keep the Site useful and current, but information may contain errors, omissions or outdated details. Project descriptions, equipment, capabilities, dimensions, certifications and other information may change without notice. Confirm information directly with CMI before relying on it for a project, purchasing decision, design, bid or other material purpose.

We may update, suspend, restrict or discontinue all or part of the Site at any time. We do not guarantee that the Site will be uninterrupted, error-free, secure or free of viruses or other harmful components. You are responsible for maintaining appropriate security and backups for your systems.

9. Disclaimers

To the fullest extent permitted by applicable law, the Site and its content are provided “as is” and “as available”, without representations, warranties or conditions of any kind, express or implied, including warranties or conditions of accuracy, completeness, currency, merchantability, fitness for a particular purpose, title and non-infringement.

Nothing in these Terms excludes a warranty, condition, remedy or liability that cannot lawfully be excluded or limited.

10. Limitation of liability

To the fullest extent permitted by applicable law, CMI and its directors, officers, employees, affiliates, agents and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for loss of profits, revenue, opportunity, data or goodwill, arising from or related to the Site or your reliance on Site content, whether based in contract, tort (including negligence), statute or otherwise, even if advised that such loss may occur.

Where liability cannot be excluded, CMI’s liability will be limited to the minimum extent permitted by law. These limitations do not apply to liability that applicable law prohibits us from limiting.

11. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless CMI and its directors, officers, employees and agents from third-party claims, losses, liabilities and reasonable costs arising from your unlawful use of the Site, your infringement of another person’s rights, or material you submit in breach of these Terms.

12. Changes to these Terms

We may update these Terms from time to time. The revised Terms take effect when posted, unless a later date is stated. The “Last updated” date identifies the current version. Your continued use of the Site after revised Terms are posted means you accept them.

13. Governing law and disputes

These Terms and your use of the Site are governed by the laws of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-laws principles. Subject to any mandatory law, the courts of British Columbia have exclusive jurisdiction over disputes relating to the Site or these Terms.

14. General

If any provision of these Terms is found unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect. A failure by CMI to enforce a provision is not a waiver. These Terms and the Privacy Policy are the entire agreement concerning use of the Site, but do not replace any separate written agreement between you and CMI concerning goods, services or a project.
